1. Introduction

Welcome to Motion Mind Studio ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our services, including our website and any related content. By engaging with our services, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our services.

2. Services Provided

Motion Mind Studio specializes in providing professional video production and animation services, including but not limited to:

• Animated explainer videos
• Product demo videos
• Promotional videos
• Motion graphics
• Live Action Videos

The specific scope of services will be detailed in a formal contract, proposal, or statement of work agreed upon by both parties.

3. Client Obligations

To ensure a successful collaboration, you ("Client") agree to:

• Provide clear and detailed project requirements, including necessary assets such as logos, branding guidelines, scripts, and any specific visual elements.
• Respond promptly to our communications and provide feedback within the timelines specified in the project schedule.
• Ensure that you have the legal rights to any materials you provide to us for inclusion in the project.

Delays in providing required information or feedback may impact the project timeline, for which Motion Mind Studio will not be held responsible.

4. Pricing and Payments

4.1. Payment Terms

• Deposit: A non-refundable deposit of 50% of the total project cost is required upon acceptance of the proposal and signing of the contract. This deposit secures your project in our production schedule.
• Final Payment: The remaining 50% is due upon completion of the project and before the final deliverables are provided.

4.2. Invoicing

• Invoices will be issued for both the deposit and the final payment.
• Payments are due within 14 days of the invoice date unless otherwise specified.
• Late payments may incur a late fee of 5% of the outstanding balance per month.

4.3. Payment Methods

We accept payments via credit card, bank transfer, or other methods as agreed upon. All payment details will be provided in the invoice.

5. Revisions and Approvals

Our goal is to deliver a final product that meets your expectations. To facilitate this:

• Revisions: We offer up to two rounds of revisions at no additional cost. Additional revisions may incur extra charges.
• Approval: Final approval is required before the delivery of the completed project. Once approved, any further changes will be considered a new project and billed accordingly.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the project. This includes, but is not limited to, business strategies, financial information, and client data. Confidential information will not be shared with third parties without prior written consent, except as required by law.

7. Intellectual Property Rights

• Client Materials: You retain all rights to materials you provide to us.
• Final Deliverables: Upon full payment, you are granted a non-exclusive, royalty-free license to use the final deliverables for their intended purpose. Motion Mind Studio retains the right to showcase the work in our portfolio unless otherwise agreed upon in writing.

8. Termination

Either party may terminate the agreement with written notice if the other party breaches any material term of the agreement and fails to remedy the breach within 14 days of receiving notice. Upon termination, you agree to pay for all work completed up to the termination date.

9. Limitation of Liability

Motion Mind Studio will not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability will not exceed the amount paid by you for the specific project.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on our website, and your continued use of our services constitutes acceptance of the updated Terms.
